These Terms of Service are provided in both English and German. In the event of any conflict between the two language versions, the German version shall prevail as the legally binding text. The German version is available separately.
1. Scope and Parties
These Terms of Service govern the contractual relationship between Sales Stage AI ("Sales Stage AI", "we", "us", or "our") and the customer ("Customer") accessing or using the Sales Stage AI platform for commercial purposes. Sales Stage AI is a B2B Software-as-a-Service platform directed exclusively at businesses and professionals, using the platform in the course of their commercial activities. Use by individuals acting outside the scope of a business or professional activity is not permitted.
By registering on this platform, purchasing a subscription, or otherwise using our services, the customer agrees to these Terms of Service in their current version. Where the customer acts on behalf of an organisation, they represent that they have authority to bind that organisation to these Terms. Any conflicting general terms and conditions of the Customer shall not apply, unless Sales Stage AI has expressly agreed to them in writing.
2. Description of the Platform
Sales Stage AI is an AI-assisted sales simulation and structured competency evaluation platform. It is designed as decision-support software — expressly not as an automated hiring or candidate selection system. The scope of services includes in particular:
- the creation and management of job positions and candidate profiles
- the configuration of individual sales conversation scenarios via a guided setup wizard
- the generation of token-based candidate access links
- the conduct of AI-assisted sales simulations with an AI-generated voice output
- automatic transcription and AI-generated performance analysis following the completion of each simulation
- access to a dashboard presenting the recording, transcript, performance score and other sales metrics
The specific features available depend on the subscription plan selected by the customer. Sales Stage AI reserves the right to develop and expand platform functionality in line with technical progress. Where material changes significantly affect the Customer's core use of the platform, advance notice will be provided by email.
3. Registration and Account Security
Access to the platform requires registration. The customer agrees to provide accurate and complete information during registration and to update it promptly in the event of any changes. Login credentials are confidential and must not be shared with individuals outside the customer's organisation. The customer is responsible for all activities carried out under their account, unless unauthorised access occurred without the customer's fault and was reported to Sales Stage AI without undue delay.
Each account is registered to a single organisation and may not be shared across separate legal entities. The customer is responsible for ensuring that all users added to their account are authorised employees, or contractors acting on the customer's behalf. Sales Stage AI reserves the right to verify account information and to decline or suspend registrations that appear incomplete, inaccurate, fake or abusive.
4. AI-Generated Evaluations, Limitations and Human Oversight
Sales Stage AI provides AI-generated simulations and structured performance insights intended exclusively to support human evaluation processes. This platform does not autonomously accept, reject, rank or recommend any candidate and is not designed to replace the judgment of qualified, human reviewers.
AI-generated evaluations, scores and analyses may contain inaccuracies or be produced on the basis of incomplete information. Sales Stage AI makes no warranty as to the accuracy, completeness or fitness for purpose of any AI output. The customer is required to have all AI-generated results independently reviewed and assessed by a qualified person, before any decision concerning a candidate is made on the basis of those results. Sales Stage AI accepts no liability for decisions made by the Customer on the basis of platform evaluations, including poor hiring outcomes, employment disputes or any other consequential losses.
5. Customer Obligations
5.1 Lawful Use
As the Data Controller, the customer bears sole responsibility for ensuring that their use of Sales Stage AI in recruitment processes complies with all applicable legal requirements. This includes in particular ensuring a valid legal basis for processing candidate data under the GDPR, properly informing candidates about the use of the platform before sending the access link, complying with applicable anti-discrimination legislation, including the German General Equal Treatment Act (AGG) and equivalent laws in the candidate's jurisdiction, obtaining any works council approvals required under applicable co-determination law and complying with all data protection laws applicable in the jurisdiction of each candidate assessed.
5.2 Permitted Use
The Customer agrees to use the platform exclusively for the legitimate purpose of candidate assessments within hiring processes and in accordance with these Terms of Service.
5.3 Technical Requirements
The customer is responsible for maintaining adequate technical infrastructure on their side and on the side of invited candidates. Sales Stage AI accepts no responsibility for limitations arising from insufficient technical equipment on the part of the customer or candidate.
6. Acceptable Use
The following uses are expressly prohibited:
- using the platform for any unlawful purpose or in any manner that violates applicable law
- using the platform to discriminate against candidates on the basis of protected characteristics under applicable anti-discrimination law
- using AI-generated evaluations as the sole basis for hiring, rejection, or compensation decisions without independent human review
- sharing candidate evaluations or recordings with third parties without the consent of the candidates concerned
- attempting to reverse engineer, decompile, disassemble, analyse or otherwise derive the source code of the platform, its underlying algorithms, AI models, or security mechanisms
- automated extraction of platform content (scraping)
- uploading malicious software or harmful content
- using the platform to monitor existing employees or for any purpose other than that agreed under these Terms
- sharing login credentials beyond organisational boundaries or granting access to unauthorised third parties
Sales Stage AI reserves the right to remove content, temporarily suspend or terminate accounts, or terminate the contractual relationship for cause in the event of violations of this section.
7. Disclaimers and No Guarantees
This platform is provided on an "as available" basis to the extent permitted by applicable law. Sales Stage AI does not warrant that:
- the platform will be available at all times without interruption or error
- AI-generated evaluations, scores or recommendations are accurate, complete or fit for any particular purpose
- use of the platform will lead to specific hiring outcomes
- third-party services on which the platform relies will remain continuously available
Sales Stage AI offers highly configurable scenario-based assessment tools that can be tailored to specific roles and requirements by the customer. The platform does not evaluate general suitability, guarantee hiring success or promise that any candidate assessed through the platform will be a suitable fit for a given position. All assessments are scenario-specific and reflect conversational performance only. This platform is a support tool — the professional judgment of the customer's hiring team remains the determining factor in every professional hiring process. The platform does not perform emotion recognition, lie detection, or psychological profiling of any kind, and draws no inferences about a candidate's emotional state, personality traits, or psychological characteristics from any data processed through the platform.
8. Intellectual Property
Sales Stage AI is and remains the sole owner of all rights in and to the platform, including the software, user interface, AI models, conversation prompts, scoring methodologies, trademarks, design and all associated intellectual property rights. The customer receives a non-exclusive, non-transferable licence to use the platform for the duration of the contractual relationship and within the scope of these Terms of Service. These Terms do not grant the customer any ownership interest in the platform or any of its components. The name "Sales Stage AI", its logo, and all associated brand elements are trademarks of Sales Stage AI. They may not be used, reproduced, or displayed without prior written consent of Sales Stage AI.
Individualized scenario configurations created by the sustomer, as well as evaluations and reports generated through use of the platform, remain the property of the customer. Sales Stage AI acquires no right to use this content for any purpose other than the provision of services to the customer.
Where the customer provides feedback, suggestions or ideas regarding the platform, the customer grants Sales Stage AI an irrevocable, worldwide, perpetual, royalty-free licence to use such feedback for the development and improvement of the platform, without any obligation arising to the customer as a result.
9. Data Protection and Data Processing Agreement
Where Sales Stage AI processes personal data of candidates in the course of providing its services, it does so as a Data Processor acting on behalf of the Customer as Data Controller. The terms of this processing are governed by a separate Data Processing Agreement (DPA), which forms part of the contractual relationship and is deemed concluded upon commencement of use, unless a separate signing process has been agreed.
For all other processing of personal data, the Sales Stage AI Privacy Policy, available at [www.salesstage.ai/privacy], applies and forms part of these Terms of Service.
10. Payment and Fees
10.1 Pricing
Sales Stage AI offers three subscription plans, billed on a monthly or annual basis. Current plan details and pricing are available at [www.salesstage.ai/pricing]. All prices are displayed excluding applicable taxes - the applicable VAT or equivalent tax will be added at checkout, based on the customer's location and tax status. No additional or hidden fees apply beyond the published subscription price.
10.2 Payment Processing
Payment processing is handled by Stripe, Inc. (USA), a certified payment service provider operating to PCI-DSS standards. By providing payment details, the customer authorises Stripe to charge the applicable subscription fees to the designated payment method on each billing date. Stripe processes payment data in accordance with its own privacy policy. Sales Stage AI does not have access to complete card or account data. The customer is responsible for keeping their payment information current. In the event that a payment cannot be processed, Sales Stage AI will notify the customer and allow a reasonable period to update payment details before any access is suspended.
10.3 Late Payments
In the event of non-payment, Sales Stage AI is entitled to suspend access to the platform following written notice and a reasonable cure period. Further claims for damages remain unaffected.
10.4 Price Adjustments
Sales Stage AI may adjust subscription pricing by providing at least 30 days' written notice prior to the start of the next billing period. If the customer does not object within this period, the adjustment is deemed accepted. In the event of objection, the customer is entitled to terminate the subscription at the end of the current billing period without penalty.
10.5 Refunds
Payments already made are generally non-refundable, once the applicable billing period has begun. No partial refunds are issued for unused time within a billing period. In exceptional circumstances, Sales Stage AI may at its sole discretion offer a goodwill refund or credit. Such decisions are made on a case-by-case basis and do not create any entitlement to future refunds and are without prejudice to any statutory refund rights that may apply under applicable law.
11. Term and Termination
11.1 Contract Term and Renewal
Subscriptions are concluded for the billing period selected at the time of purchase — either monthly or annually — and renew automatically for the same period at the end of each billing cycle. To prevent automatic renewal, the customer must cancel the subscription before the end of the current billing period. Monthly subscriptions may be cancelled at any time and take effect at the end of the current monthly billing cycle. Annual subscriptions may be likewise cancelled at any time and take effect at the end of the current annual billing cycle. No partial refunds are issued for unused portions of a billing period following cancellation.
11.2 Termination by the Customer
The customer may cancel their subscription at any time via the platform settings on the dashboard or by email to [cancellations@domain.com]. Upon cancellation, the customer retains full access to the platform until the end of the billing period. Fees already paid are non-refundable unless expressly agreed otherwise or required by applicable law.
11.3 Termination by Sales Stage AI
Sales Stage AI is entitled to terminate the contractual relationship for cause with immediate effect, in particular in the event of a material breach of these Terms by the customer that is not remedied within 14 days of written notice, in the event of reasonable suspicion of unlawful activity, or following persistent non-payment after an unsuccessful reminder. Sales Stage AI may additionally terminate subscriptions for convenience with 30 days' notice to the end of a calendar month.
11.4 Effect of Termination
Following termination, the customer retains access to the platform until the end of the paid billing period. After that date, all candidate data of the customer will be irreversibly deleted within 30 days, unless statutory retention obligations require otherwise. The customer may request a data export before this deadline. All outstanding fees become immediately due and payable upon termination. The provisions relating to intellectual property, confidentiality, liability, indemnification and governing law survive termination.
12. Limitation of Liability
Sales Stage AI is liable without limitation for damages resulting from injury to life, body or health, for damages caused by wilful misconduct or gross negligence and where Sales Stage AI has provided an express guarantee. In all other respects, liability is limited to the foreseeable, contract-typical damage and capped in aggregate at the total fees paid by the customer in the twelve months preceding the event giving rise to the claim.
Sales Stage AI is not liable for indirect damages, lost profits, costs arising from poor hiring decisions, employment disputes, reputational damages, or other consequential losses resulting from the customer's use of AI-generated evaluations without adequate human review as the basis for personnel decisions. Sales Stage AI is further not liable for outages or service disruptions attributable to failures of third-party services on which the platform relies. These limitations do not apply where claims arise under mandatory product liability law.
13. Indemnification
The customer agrees to indemnify, defend and hold harmless Sales Stage AI, its founders, team members, and representatives from and against all claims, damages, liabilities, costs and expenses — including reasonable legal defence costs — arising from the customer's unlawful use of the platform, breach of these Terms of Service, violation of applicable law, including data protection, employment or anti-discrimination law and misuse of candidate data, or failure to obtain required consents.
14. Confidentiality
Both parties agree to treat all confidential information obtained from the other party in the course of the business relationship with strict confidentiality and not to disclose it to third parties, except as necessary to fulfil obligations under these Terms or applicable law, or as expressly authorised in writing. Confidential information includes in particular trade secrets, technical information, pricing terms, customer data and non-public product information.
Confidentiality obligations do not apply to information that:
- was publicly known at the time of disclosure or becomes publicly known through no fault of the receiving party
- was already known to the receiving party prior to disclosure
- was independently developed by the receiving party without reference to the confidential information
- was lawfully received from a third party without restriction on disclosure
This confidentiality obligation survives termination of the contractual relationship for a period of three years.
15. Force Majeure
Neither party is liable for any delay or failure to perform its obligations under these Terms, where such delay or failure results from circumstances beyond their reasonable control, including in particular natural disasters, pandemics, war, terrorism, government action, power failures, telecommunications infrastructure failures or disruptions to third-party services on which the platform relies. The affected party shall notify the other without undue delay and use reasonable efforts to minimise the impact of the event.
16. Communication and Support
For general support requests, technical questions, and platform issues, the customer may contact the support team at [support@domain.com]. Response times and the scope of support depend on the subscription plan selected. Sales Stage AI endeavours to respond to requests within two business days, but does not guarantee specific response times, unless a separate service level agreement has been concluded.

Official communications under these Terms — including payment reminders, formal notices, termination declarations and amendment notifications — shall be made in writing by email to the address on file and are deemed received upon confirmed transmission. The customer is responsible for keeping their registered email address current.
Sales Stage AI endeavours to provide the platform with high availability, but does not guarantee uninterrupted or error-free service. Planned maintenance will be announced in advance by email or via the platform, where reasonably possible. Sales Stage AI is not liable for outages attributable to force majeure or disruptions to third-party services on which the platform relies.
17. Changes to These Terms
Sales Stage AI reserves the right to amend these Terms of Service, to reflect changes in legal requirements or platform developments. Material changes will be communicated to the customer by email, at least 30 days before they take effect, together with an express notification of the right to object. If the customer does not object within this period, the amended Terms are deemed accepted. In the event of objection, the Customer is entitled to terminate the contractual relationship as of the date the changes take effect.
18. General Provisions
18.1 Governing Law and Jurisdiction
These Terms of Service are governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is [CITY], Germany, provided the customer is a merchant, legal entity under public law, or a special fund under public law.
18.2 Assignment
The customer may not assign or transfer any rights or obligations under this agreement to third parties without the prior written consent of Sales Stage AI. Sales Stage AI is entitled to transfer rights and obligations under this agreement to a successor in the context of a sale of business, merger or reorganisation; the Customer will be informed of any such transfer in a timely manner.
18.3 Waiver
Sales Stage AI's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorised representative of Sales Stage AI.
18.4 No Third-Party Beneficiaries
These Terms of Service do not create any rights in favour of third parties and in particular do not confer any rights on candidates who participate in a simulation. The contractual counterparty of Sales Stage AI is exclusively the registered Customer.
18.5 Notices
Notices under this agreement shall be made in writing, by email to the address on file for the customer and for notices to Sales Stage AI, to [legal@domain.com]. Email notices are deemed received upon confirmed transmission.
18.6 Severability and Entire Agreement
Should any individual provision of these Terms be or become invalid or unenforceable, this does not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid one, that comes closest to the economic purpose of the original. These Terms of Service, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between the parties and supersede all prior oral or written agreements relating to the same subject matter. No oral side agreements exist.
